These Terms of Use ("Terms") govern your access to and use of the Eastern Whale Bridge portals, including the sales portal and the customer order portal hosted at easternwhale.com and its subdomains (together, the "Portal"). The Portal is operated by Eastern Whale LLC, a Texas limited liability company ("Eastern Whale," "we," "us," or "our").
By creating an account, logging in, or placing an order through the Portal, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Portal.
The Portal is a business-to-business platform for brokers, sales representatives, specialty food brands, distributors, and retailers working with Eastern Whale. It is not intended for consumers or for anyone under 18 years of age.
The Portal relies on third-party services, including Intuit QuickBooks Online for accounting and invoicing, Amazon Web Services for file storage, and DigitalOcean for hosting. Your use of features connected to those services may also be subject to their terms. We are not responsible for the availability or performance of third-party services.
You may upload documents, images, product information, and other materials ("Your Content"). You keep ownership of Your Content. You grant Eastern Whale a non-exclusive, royalty-free license to store, use, copy, and share Your Content only as needed to operate the Portal, process orders, and provide our services. You confirm that you have the rights to upload Your Content and that it does not violate any law or third-party right.
You agree not to:
The Portal, including its software, design, text, and branding, is owned by Eastern Whale or its licensors. Product names, images, and trademarks of brands listed in the Portal belong to their respective owners. Nothing in these Terms transfers any ownership rights to you.
Pricing, terms, customer lists, and other non-public business information you see in the Portal are confidential. You may use them only for your business dealings with Eastern Whale and may not disclose them to others.
The Portal is provided "as is" and "as available." To the fullest extent permitted by law, Eastern Whale disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Portal will be uninterrupted or error-free. Product warranties, if any, are provided by the product's manufacturer or supplier.
To the fullest extent permitted by law, Eastern Whale will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Portal. Our total liability for any claim relating to the Portal will not exceed the greater of (a) the amounts you paid to Eastern Whale for the order giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
You agree to defend and indemnify Eastern Whale and its members, employees, and agents against claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Portal, Your Content, or your violation of these Terms.
You may stop using the Portal at any time. We may suspend or terminate your access at any time. Sections 5, 7, 8, 9, 10, 11, and 13 survive termination. Outstanding orders and invoices remain payable.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.
We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date. Continued use of the Portal after changes take effect means you accept the updated Terms.
